Agreement

These Terms of Service ("Terms") govern access to and use of the WARBLOOMB website, applications, APIs, and related services (collectively, the "Service") operated by WARBLOOMB ("we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Not investment, legal, tax, or professional advice

The Service provides general information, research-style analytics, and software-generated commentary based on public sources and models. Nothing on the Service is personalized investment, legal, tax, accounting, or other professional advice. You alone are responsible for your decisions, trades, compliance obligations, and any consequences. Past performance of any signal, score, or hypothetical example is not a guarantee of future results.

No fiduciary duty; no recommendation

We do not owe you a fiduciary duty. We do not endorse or recommend any security, derivative, digital asset, or strategy. Any tickers, scenarios, or "signals" shown are illustrative outputs of software and editorial rules, not an offer or solicitation to buy or sell any instrument in any jurisdiction.

Subscriptions, trials, and billing

Paid access and trials are processed by our payment provider (Stripe). Fees, renewal dates, taxes (if applicable), and cancellation rights are presented at checkout and in your billing portal. We may change plans or pricing with reasonable notice where required by law. If you dispute a charge, contact us first; chargebacks may result in suspension of access.

Account security and eligibility

You must provide accurate registration information and safeguard your credentials. You are liable for activity under your account unless you notify us promptly of unauthorized use. You must be legally able to enter contracts in your jurisdiction and must not use the Service where prohibited.

Acceptable use

You agree not to:

• Violate applicable laws or third-party rights.
• Scrape, crawl, harvest, or bulk-export data except through documented APIs we expressly permit.
• Probe, attack, or overload our systems; bypass authentication, rate limits, or technical controls.
• Reverse engineer or attempt to extract models, prompts, or non-public logic except where applicable law forbids this restriction.
• Use the Service to build a competing product, to train external models on our outputs without written consent, or to misrepresent affiliation with us.
• Upload malware, unlawful content, or content that infringes intellectual property or privacy rights.

Third-party services and data

The Service integrates authentication (e.g., Clerk), payments (Stripe), news and market data vendors, hosting providers, and AI inference providers. Their terms and privacy practices also apply where relevant. We do not control third-party feeds and do not warrant their accuracy, timeliness, or completeness.

Intellectual property

The Service, including software, branding, layouts, and compiled datasets we create, is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business or personal research. You may not copy, rent, sell, or publicly display our proprietary materials except as allowed by law or with our written permission.

AI-generated content

Portions of the Service use large language models and rules engines. Outputs may be incomplete, outdated, or incorrect ("hallucinations"). You must independently verify any fact, figure, or conclusion before relying on it. AI features are not a substitute for human judgment or licensed professional advice.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnity

You will defend, indemnify, and hold harmless WARBLOOMB and its officers, directors, employees, and contractors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of third-party rights.

Suspension and termination

We may suspend or terminate access if we reasonably believe you violated these Terms, create risk or possible legal exposure, or if required by law. You may stop using the Service at any time. Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and governing law) will survive termination.

Changes

We may modify the Service or these Terms. We will post updated Terms with a new "Last updated" date. If changes are material, we will provide notice as required by law. Continued use after changes become effective constitutes acceptance.

Governing law; disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Exclusive jurisdiction and venue for disputes will lie in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to participate in a class action to the extent permitted by law.

Export and sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to comprehensive sanctions or export restrictions, and that you will not use the Service in violation of export control or sanctions laws.
